This agreement establishes the verified transfer of ownership of a registered digital or physical asset within the Matrix Code Copyright™ (MCC) ecosystem.

This contract serves as a permanent record of acquisition, ownership transfer, verification, and license history for the registered asset.

1. Purpose of This Transfer Agreement
This agreement confirms that User A is transferring ownership of a registered asset to User B.

The purpose of this transfer is to permanently assign ownership of the registered digital or physical asset to the new owner after successful verification, payment, and completion of the MCC transfer process.

This is not a temporary access agreement. The transfer gives the new owner ownership of the registered asset according to the selected license terms attached to the asset.

Once completed, User B becomes the current owner of the asset. User A no longer owns the asset and remains only as part of the asset's historical ownership record.
2. Required Files for Ownership Transfer
Before a transfer can begin, User A must upload and verify the complete registered asset package.

User A must provide:
1. The original file.
2. The PAY ownership file containing ownership information.
3. The matching sidecar verification key.

Registered PAY ownership file: flower.PAY.png
Sidecar: flower verification key.json

The MCC system verifies that all files belong together before ownership transfer can proceed.
3. Asset Preview and Transfer Information Display
Before the transfer is finalized, the MCC transfer contract displays a preview thumbnail of the asset being transferred.

The transfer record displays:
The preview allows both parties to confirm the exact asset being transferred.
4. Verification of Current Owner
User A must prove ownership by providing:
The MCC system verifies that User A is the current registered owner before allowing transfer.

Without the correct registered asset package, the transfer cannot be completed.
5. New Owner Requirements
User B must have:
The new owner may purchase the registered asset using approved payment methods, including:
After payment and verification, ownership transfer is completed.
6. PAY Ownership Layer Transfer
When ownership changes, the MCC system creates a new PAY ownership layer.

Example:

First ownership registration: flower.PAY.png
After transfer to User B: flower.PAY.PAY.png

The additional PAY extension represents another verified ownership layer.
The previous owner information remains stored within the ownership history.
The new PAY file identifies the newest verified owner.
7. Sidecar Key Transfer and Replacement
After transfer completion, User B receives a new sidecar verification key.

The new sidecar is connected to:
The previous owner's sidecar is no longer valid for current ownership verification.
The old sidecar may remain as part of the historical transfer record but cannot prove current ownership.
8. New Owner Ownership Rights
After successful transfer, User B becomes the recognized owner of the registered asset.

The new owner may:
The new owner purchased ownership of the registered asset, not merely access to a copy.
9. Creative Modification and Derivative Rights
If the transferred license grants full ownership rights, the new owner may create creative derivatives, modifications, adaptations, or new works based on the asset.

The new owner has the authority to use the asset creatively because ownership has been transferred.

However, derivative rights depend on the license attached to the asset.
10. Shareable License Restrictions
If the asset has a shareable license instead of a full ownership license, the new owner receives only the rights granted by that license.

A shareable license does not automatically grant permission to:
To obtain full ownership rights or derivative rights, the user must acquire those rights from the original creator or current rights holder.
11. Ownership License Statement
This document functions as a formal, legally binding transfer of ownership for a unique, one-of-one digital asset, establishing a permanent record of acquisition and transfer history within the MCC registry system.

Rather than granting access to a copy, it formally assigns ownership rights to the buyer, including the authority to display, trade, sell, or transfer the original asset.

The selected license determines additional rights, including modification and derivative creation rights.

Unauthorized copying, reproduction, training use, or modification of the work is prohibited unless specifically allowed by the transferred license.
12. Receipt and Ownership Documentation
After successful transfer, User B receives:
These documents confirm the completed transfer.
13. Ownership History
The asset maintains a permanent ownership history.

The record may include:
Previous owners remain recorded as historical owners only.
Historical ownership does not provide current ownership control.
14. Final Transfer Agreement
By signing this agreement:

User A confirms that they are voluntarily transferring ownership of the registered asset and understand that they will no longer be the current owner after completion.

User B confirms that they understand they are receiving ownership of the registered asset, including the updated PAY ownership file, sidecar verification key, receipt, and applicable license rights.

Both parties acknowledge that the MCC ecosystem preserves the asset's history while recognizing the newest verified owner as the current owner.
